1. About These Terms

These Terms and Conditions ("Terms") govern the provision of consultancy services by Applegarth Health and Safety ("we", "us", "our"), a business operated by Jeremy Applegarth, based in St Neots, Cambridgeshire PE19. Our contact details are: info@applegarthhealthandsafety.co.uk | 07900 914719.

By engaging our services — whether verbally, in writing, or by signing a proposal or quote — you ("the Client") agree to be bound by these Terms. Please read them carefully before commissioning work.

2. Our Services

Applegarth Health and Safety provides professional Health and Safety consultancy services, which may include:

The precise scope of each engagement will be set out in a written quotation or proposal. Only the services described in that document are included; additional work will be subject to a separate quotation.

Our advice is based on conditions as observed at the time of a visit or the information provided to us. We cannot be held responsible for changes to your premises, activities, staff, or legislation that occur after delivery of our report, unless you have engaged us on an ongoing retainer basis.

3. Quotations and Acceptance

Quotations are valid for 30 days from the date of issue unless otherwise stated. Acceptance of a quotation — in writing, by email, or by instructing us to proceed — constitutes a binding contract on these Terms.

We reserve the right to decline or withdraw from any engagement at any time before acceptance, or after acceptance if circumstances arise that make it impractical or inappropriate to proceed, in which case any fees paid for work not yet completed will be refunded.

4. Fees and Payment

Fees for each engagement are agreed in advance and set out in our quotation. Unless otherwise agreed:

Late payment may result in interest being charged at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend or withhold deliverables (including draft or final reports) until outstanding invoices are settled.

5. Delivery of Reports and Documents

Reports, risk assessments, and other written deliverables will be provided in PDF format unless otherwise agreed. Delivery is typically within 7 working days of a site visit or completion of an assessment, though this may vary and will be agreed at the time of engagement.

Draft documents may be provided for your review. Any comments or amendments must be submitted within 14 days; failure to respond within this period will be treated as acceptance of the draft.

6. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

We accept no liability for errors in our advice or reports that arise from inaccurate, incomplete, or misleading information provided by you or your representatives.

7. Intellectual Property

All reports, documents, templates, and written materials produced by Applegarth Health and Safety remain our intellectual property until payment has been received in full. Upon receipt of full payment, you are granted a non-exclusive licence to use the deliverables for the internal purposes of your organisation.

You may not reproduce, distribute, sell, or modify our deliverables for use by third parties without our prior written consent.

8. Confidentiality

We will keep all information relating to your organisation confidential and will not disclose it to third parties except where required by law, or where disclosure is necessary to carry out the agreed services (for example, engaging a specialist sub-contractor with your prior agreement).

We may reference your organisation type and sector as part of our general experience, but we will not identify you by name in any marketing materials without your written consent.

9. Limitation of Liability

Our advice is provided in good faith based on the information available to us at the time. Responsibility for implementing and maintaining Health and Safety arrangements within your organisation rests with you as the employer or responsible person. Our reports are an aid to compliance, not a guarantee of it.

Our liability for any claim arising from the provision of our services is limited to the fees paid by you for the specific engagement giving rise to the claim. We are not liable for:

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

We hold Professional Indemnity and Public Liability insurance. Details are available on request.

10. Cancellation

You may cancel a confirmed engagement at any time by notifying us in writing. The following cancellation charges apply:

If we are required to cancel due to circumstances beyond our control, we will provide as much notice as possible and will not charge any cancellation fee. Rescheduling will be offered where practicable.

11. Complaints

We aim to provide an excellent standard of service at all times. We will acknowledge your complaint within 3 working days and aim to resolve it within 14 working days.

12. Governing Law

These Terms and any contract formed under them are governed by and construed in accordance with the law of England and Wales. Any disputes arising from or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We reserve the right to update these Terms from time to time. The current version will always be published on this page. Continued use of our services after an update constitutes acceptance of the revised Terms.
